2. Services Provided

ShiftLock provides a digital staffing platform ("Platform") that enables the Facility to:

  • a. Post shift vacancies for qualified nursing professionals (RN, LPN, NP, PSW).
  • b. Receive AI-matched nurse recommendations based on credentials, availability, proximity, and facility preferences.
  • c. Review verified nurse profiles, credentials, ratings, and work history.
  • d. Confirm, manage, and track shift assignments through the Platform.
  • e. Process payments to nurses through the Platform's secure payment system.

3. Pricing & Payment Terms

3.0 — Nurse Pay Rate Schedule (Facility Acknowledges)

The following rates represent ShiftLock's tiered-spread compensation structure (NB sector top step + 20% / 25% / 35% / 50% by shift difficulty). By signing this Agreement, the Facility acknowledges and agrees to these rates as the basis for all shift billing. ShiftLock charges a separate 12% platform fee on top of the nurse's posted rate; the nurse's pay is never reduced by the platform fee.

Tiered spread reflects shift difficulty. Premium add-ons (charge, preceptor, evening, night, weekend, holiday, on-call, callback, emergency-backup, outbreak, etc.) and cash bonuses (referral, anniversary, holiday-hero, rural-champion, comeback, etc.) stack on top of the posted tier rate per the per-role contracts. 3.3 The commission rate ("Platform Fee") is calculated as a percentage of the total nurse compensation for each completed shift (hourly rate × hours worked). The nurse pay rates in section 3.0 above are the basis for all calculations.

3.4 The Facility shall be invoiced bi-weekly or monthly (as selected). Payment is due within 15 business days of invoice date.

3.5 Nurse compensation is processed through the Platform's integrated payment system. Nurses are paid within 24 hours of shift completion confirmation.

3.6 All amounts are in Canadian Dollars (CAD) and subject to applicable taxes (HST).

3.7 ShiftLock reserves the right to update the nurse pay rate schedule in section 3.0 with 30 days written notice to the Facility. Rates will never decrease during the term of this Agreement.

4. Nurse Verification & Credentials

4.1 ShiftLock verifies that all nurses on the Platform hold current, valid licenses with the Nurses Association of New Brunswick (NANB) or the Association of New Brunswick Licensed Practical Nurses (ANBLPN), as applicable.

4.2 All nurses must provide proof of: current professional liability insurance, up-to-date immunization records, criminal record check (within 12 months), and any specialty certifications (ACLS, BLS, PALS, etc.).

4.3 The Facility may review nurse profiles, credentials, ratings, and work history prior to accepting any shift assignment.

4.4 ShiftLock makes reasonable efforts to verify credentials but does not guarantee the accuracy of information provided by nurses. The Facility retains the right to reject any nurse assignment.

5. Shift Posting & Cancellation

5.1 The Facility may post shifts at any time through the Platform. Shifts are broadcast to qualified nurses based on the Facility's configured matching preferences.

5.2 The Facility may cancel a posted shift at no cost up to 4 hours before the scheduled start time.

5.3 Cancellations within 4 hours of the shift start may incur a cancellation fee of 25% of the estimated shift value, payable to the assigned nurse.

5.4 If a nurse cancels an accepted shift, ShiftLock will immediately re-broadcast the shift. No cancellation fee is charged to the Facility.

5.5 Nurse no-shows and late cancellations are tracked in the nurse's reliability score. Repeat offenders may be suspended or removed.

6. Relationship of Parties

6.1 Nurses on the Platform are independent contractors, not employees of ShiftLock or the Facility.

6.2 The Facility is responsible for on-site supervision, orientation, and ensuring a safe working environment.

6.3 ShiftLock does not provide clinical supervision or assume liability for clinical decisions made by nurses during their assignments.

7. Non-Solicitation

7.1 During the term of this Agreement and for 6 months following termination, the Facility agrees not to directly hire or engage any nurse introduced through the Platform without processing through ShiftLock.

7.2 If the Facility wishes to directly hire a ShiftLock nurse, a one-time placement fee of $2,500 per nurse shall apply.

7.3 This clause does not apply to nurses known to the Facility prior to their registration on the Platform.

8. Confidentiality & Data Protection

8.1 Both parties shall maintain the confidentiality of all proprietary information, business data, and personal information exchanged under this Agreement.

8.2 ShiftLock complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable New Brunswick privacy legislation.

8.3 Patient information shall never be transmitted through the Platform.

9. Limitation of Liability

9.1 ShiftLock's total liability under this Agreement shall not exceed the total Platform Fees paid by the Facility in the 12 months preceding the claim.

9.2 ShiftLock shall not be liable for any indirect, incidental, consequential, or punitive damages.

9.3 The Facility acknowledges that ShiftLock provides a technology matching service and is not a staffing agency.

10. Term & Termination

10.1 Pay-As-You-Go Plans: Month-to-month. Either party may terminate at any time with no notice required. All outstanding fees remain payable.

10.2 Membership Plans: Month-to-month. Either party may terminate with 30 days written notice. The monthly fee is non-refundable for the current billing period.

10.3 ShiftLock reserves the right to suspend or terminate access for violation of terms, non-payment, or conduct detrimental to the Platform.

11. Dispute Resolution

11.1 Any dispute shall first be subject to good-faith negotiation between the parties.

11.2 If not resolved within 30 days, disputes shall be submitted to mediation in New Brunswick, Canada.

11.3 This Agreement is governed by the laws of the Province of New Brunswick and the federal laws of Canada.
